Project estimates are valid for 30 days, unless stated otherwise, from the date of estimate. Project may be re-estimated if, upon receipt of all project elements, SR&Co. determines the scope of the project has been altered from the original scope of work.
PAYMENT SCHEDULE
A non-refundable deposit in an amount equal to 50% of the total estimated cost is requested prior to execution of the project. Payment in full or the remaining balance is to be paid upon delivery of the completed project. Finance charge of 1.5% per month (18% annually) on all overdue balances. For payments SR&Co. accepts Master Card, VISA, American Express, eCheck, and Discover Card.
REVISIONS
All projects come with 2 revision requests, unless stated otherwise, via email (2 emails with list of changes) after first design is presented. These requests will be used to finalize the design. Any extra revision requests will be charged additionally at $30 per email until the project is complete. You will be notified if this applies.
PROOFING
The designer shall make every effort to ensure the final product is free of any grammatical and spelling errors, before giving the final product to the client. It is agreed that it is the client’s responsibility to ensure that there are no spelling or grammatical errors contained in the final product. It is agreed that the designer is not responsible or held liable for any errors contained in the final product after the final product has been committed to print or posted in view of the public.
PRODUCTION SCHEDULE/DELIVERY OF PROJECT
The client will assume any shipping or insurance costs related to the project. Any alteration or deviation from the above specifications involving extra costs will be executed only upon approval with the client. The designer shall not incur any liability or penalty for delays in the completion of the project due to actions or negligence of client, unusual transportation delays, unforeseen illness, or external forces beyond the control of the designer. If such event(s) occur, it shall entitle the designer to extend the completion/delivery date, by the time equivalent to the period of such delay.
SR&Co. and the client must work together to complete the project in a timely manner. We agree to work and to complete the project after client has submitted all necessary materials and signed off on agreed proposed project timeline. If the client does not supply SR&Co. with all complete text and graphics content for this project within 30 days of the starting date of this agreement the client agrees to pay +$20.00 per day until project is complete.
PREPARATORY MATERIAL
Preparatory work performed at the client’s request, such as sketches, drawings, composition, cd’s, plates, presswork, and other materials will be charged at current rates and may not be used without the consent of SR&Co. Artwork, type, negatives, positives, plates, disks, and other items when supplied shall remain SR&Co.’s exclusive property unless otherwise agreed in writing.
PROJECT REJECTION
SR&Co. have the right to reject projects that we would be uncomfortable working with (ie. nudity, pornography, offensive material, etc.). You will be notified by email if your order will be cancelled and the reason for cancellation.
ABANDONED PROJECTS
A project will be considered abandoned if we have not heard from you in 30 days. You will not have any rights to use any of the work that was presented to you, unless the project has been paid in full. If we have not heard from you and you contact us after the 30-day abandonment, a start up fee of $85 will apply.
CANCELLATION OF PROJECT
You can make cancellations at any time. Please keep in mind that the deposit is non-refundable. The client shall not unreasonably withhold acceptance of, or payment for, the project. If, prior to completion of the project, the client observes any nonconformance with the design plan, the designer must be promptly notified, allowing for necessary corrections. Rejection of the completed project or cancellation during its execution will result in forfeiture of deposit and the possible billing for all additional labor or expenses to date. All elements of the project must then be returned to the designer. Any usage by the client of those design elements will result in appropriate legal action. Client shall bear all costs, expenses, and reasonable attorney’s fees in any action brought to recover payment under this contract or in which SR&Co. may become a party by reason of this contract. In the event of cancellation of the project, ownership of all copyrights and the original artwork and disks shall be returned and retained by SR&Co., and a fee for work completed, based on the contract price and expenses already incurred, shall be paid by the client.
PRINTERS
We work with third-party printers that are trusted partners and in the rare case that their is a printing issue, we will work with the printer to get it resolved. Please note that some print materials may not show the exact same color that is showing up on your screen. This is due to the fact that each computer screen tint can be different. Any reprints required will not be at the expense of SR&Co. We recommend providing # of Pantone colors if you need exact shades matched up.
COPYRIGHT FOR ARTWORK
Until full payment has been made, SR&Co. retains ownership of all original artwork or parts contained therein, whether preliminary or final. Upon full payment, the client shall obtain ownership of the final artwork to use and distribute as they see fit. SR&Co. retains the right to use the completed project and any preliminary designs for the purpose of design competitions, future publications on design, educational purposes, marketing materials, and portfolio. Where applicable the client will be given any necessary credit for usage of the project elements. Note that we reserve the right to use stock images where necessary. Any concepts that are not chosen and paid for will be a violation of SR&Co. creative digital design company’s rights if they are used elsewhere.
COPYRIGHTS & TRADEMARKS
The client unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to SR&Co. for inclusion in the project are owned by the client, or that the client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, indemnify and defend SR&Co. and its subcontractors from any liability (including attorney’s fees and court costs), including any claim or suit, threatened or actual, arising from the use of such elements furnished by the client.
SR&Co.’s terms of service can be changed or updated at any time without prior notice to you.
